1. Acceptance of terms

These Terms & Conditions ("Terms") govern access to and use of the CloudCampuZ platform (the "Service"), provided by Kalix Technologies Pvt. Ltd. ("Kalix", "we", "us"), and use of the cloudcampuz.in website. By signing an order form, starting a pilot, or using the Service, the Institution accepts these Terms on behalf of itself and its authorised users.

2. Definitions

  • "Institution" / "you" — the school or educational trust that subscribes to the Service.
  • "Authorised User" — any principal, teacher, administrator, staff member, student, or parent the Institution permits to access the Service.
  • "Platform Data" — the academic, administrative, and personal data the Institution or its Authorised Users input into the Service.
  • "Founding School" — an Institution admitted under the Founding Schools Programme described in Section 5.

3. The service

CloudCampuZ is a cloud-based school management platform covering admissions, academics, attendance, examinations and report cards, fee collection and accounting, payroll, transport, library, front-desk/reception, and an optional AI assistant for administrative staff. Access is provided on a subscription basis, per Institution, under the plan agreed at signup.

4. Accounts & eligibility

The Service is offered to legitimate, operating educational institutions. Individual staff, student, and parent accounts are created and managed by the Institution's administrators — Kalix does not independently verify the identity of every Authorised User, and relies on the Institution to do so. The Institution is responsible for keeping its administrator credentials secure and for all activity under its accounts.

5. Founding Schools Programme

As advertised on our website, the Founding Schools Programme is currently open to a cohort of up to 12 schools in Hyderabad — CBSE and ICSE institutions with 500–2,000 students — under the following terms:

  • Paid pilot: a structured 60-day pilot, with a ₹10,000 onboarding fee.
  • Fee credit: if the Institution proceeds to a full subscription after the pilot, the ₹10,000 onboarding fee is applied in full toward Year 1 fees.
  • Founding discount: a 20% discount applied to Year 1 pricing, carried forward for the life of the Institution's subscription (i.e. it does not expire after Year 1).
  • Founder-led onboarding: setup and early operation are supported directly by the Kalix founding team.
  • Product input: Founding Schools may be consulted on product priorities for the platform's first year, though Kalix retains final decision-making authority over the roadmap.

Founding slots are allocated at Kalix's discretion and are not guaranteed by submitting an enquiry. Specific commercial terms for each Founding School will be confirmed in a separate order form or agreement, which will govern in the event of any conflict with this section.

6. Fees & payment

Subscription and onboarding fees are as agreed in the Institution's order form or quote, exclusive of applicable taxes (including GST) unless stated otherwise. Fees are payable in advance for the applicable period unless otherwise agreed in writing. Where the Institution enables online fee collection from parents/students through a third-party payment gateway (Section 10), Kalix is not a party to those individual payment transactions and is not responsible for gateway outages, chargebacks, or disputes between the Institution and its parents/students.

7. Institution responsibilities

The Institution agrees to:

  • Provide accurate information when setting up accounts and entering Platform Data.
  • Obtain all consents required by applicable law — including parental/guardian consent for minors under the DPDP Act — before entering personal data about students, parents, or staff into the Service.
  • Use the Service only for lawful school-administration purposes, and not to store or transmit content that is unlawful, infringing, or harmful.
  • Promptly notify Kalix of any suspected unauthorised access to its accounts.

8. Data ownership & processing

As between the Institution and Kalix, the Institution owns and remains the Data Fiduciary for all Platform Data it or its Authorised Users input. Kalix processes Platform Data solely to provide, secure, and support the Service, as described in our Privacy Policy, and does not use it for any independent purpose such as advertising or resale.

9. Intellectual property

Kalix owns all rights, title, and interest in the CloudCampuZ software, platform, and branding, including all improvements and derivative works. These Terms grant the Institution a limited, non-exclusive, non-transferable right to use the Service during the subscription term — nothing here transfers ownership of our software to the Institution. The Institution retains all rights to its own Platform Data.

10. Third-party services

The Service relies on third-party providers to function — including cloud hosting and database infrastructure, SMS/OTP delivery, push notifications, address-lookup, and (where enabled) AI features and payment gateways, as listed in our Privacy Policy. By using the Service, the Institution consents to this processing to the extent necessary to deliver the features it has enabled. Kalix selects these providers carefully but is not liable for outages or failures originating solely within a third-party provider's systems.

11. Service availability

We work to keep the Service reliably available but do not guarantee uninterrupted or error-free operation. Planned maintenance will be scheduled with reasonable notice where practical, and we'll aim to avoid maintenance windows during exam periods.

12. Term & termination

These Terms apply for the duration of the Institution's pilot and/or subscription period. Either party may terminate for material breach that remains uncured 30 days after written notice. On termination, Kalix will make the Institution's Platform Data available for export for a reasonable period, after which it will be deleted or anonymised except where retention is required by law.

13. Liability & indemnity

To the maximum extent permitted by applicable law, Kalix's total aggregate liability arising out of or relating to these Terms or the Service — whether in contract, tort, or otherwise — will not exceed the total fees paid by the Institution to Kalix in the 12 months immediately preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, even where advised of the possibility of such damages. Nothing in these Terms limits either party's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.

Each party agrees to indemnify and hold the other harmless from third-party claims, losses, and reasonable costs arising out of its own breach of these Terms, its negligence, or its violation of applicable law — including, for the Institution, claims arising from its failure to obtain consents required before entering personal data into the Service.

14. Governing law

These Terms are governed by the laws of India. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.

15. Changes to these terms

We may update these Terms from time to time; material changes affecting active subscriptions will be communicated to the Institution directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
